Terms of Service

Welcome to the web applications and software products ("Services") provided by Ibex Aero Technologies, LLC ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Services.

1. Eligibility

You must be at least 13 years of age to use the Services, and at least 18 years of age, or the age of majority where you live, to accept these Terms on behalf of an organization. By using the Services you represent that you meet these requirements and that you have the authority to enter into these Terms.

2. License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes. This license does not include any right to sublicense, resell, or distribute the Services or any content therein.

3. Restrictions

You agree that you will not:

Copy, reproduce, duplicate, or download any portion of the Services or their content except as expressly permitted;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software provided through the Services;
Redistribute, sell, lease, sublicense, or otherwise transfer access to the Services to any third party;
Modify, adapt, translate, or create derivative works based on the Services;
Use any automated system, including bots, scrapers, or data mining tools, to access the Services;
Remove, alter, or obscure any proprietary notices, labels, or marks on the Services;
Circumvent, disable, or interfere with any security, authentication, or rate-limiting feature of the Services;
Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.

4. Operational Use — Training and Simulation Only

The Services are provided for training, familiarization, planning, and simulation purposes only. They are not certified, approved, or authorized for use in real-world air traffic control, flight operations, or air navigation.

Airspace depictions, procedures, flight data, calculations, and every other output of the Services may be incomplete, out of date, or inaccurate. You must not rely on them for the separation of aircraft, for navigation, for dispatch, or for any other operational decision. Always consult current official sources, including publications of the Federal Aviation Administration, Notices to Air Missions, and the directives of your facility or operator.

The Company is not affiliated with, endorsed by, or acting on behalf of the Federal Aviation Administration or any other government agency, air navigation service provider, or employer.

5. Intellectual Property

All content, software, designs, graphics, data, and other materials provided through the Services are the exclusive property of Ibex Aero Technologies, LLC or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the Services or their content.

6. Content You Create

Ownership. Any content you create, author, upload, configure, or otherwise generate using the Services — including without limitation airspace configurations, site overlays, scenarios, saved preference sets, annotations, and any other data, files, or materials you produce within the Services ("Your Content") — is and shall be the exclusive property of the Company. You hereby irrevocably assign to the Company all right, title, and interest in and to Your Content, including all copyright and other intellectual property rights in it, throughout the world and in perpetuity.

License. To the extent any right in Your Content cannot as a matter of law be assigned, you grant the Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, translate, create derivative works from, publish, publicly display, publicly perform, and distribute Your Content for any purpose, including operating, promoting, and improving the Services and developing new products.

Waiver. To the fullest extent permitted by applicable law, you waive any moral rights, rights of attribution, and rights of integrity you may have in Your Content.

Your assurances. You represent and warrant that you have the right to grant the foregoing; that Your Content is your original work or that you are otherwise entitled to submit it; and that Your Content does not infringe the rights of any third party.

What you must not submit. You must not submit through the Services any information that is classified, security-sensitive, export-controlled, or that you are under any obligation to keep confidential — including non-public operational data belonging to any employer, facility, or government agency.

Your access. While your account remains active, the Services give you access to the content you have created, and where you choose, the ability to share it with others. Nothing in this Section obliges the Company to retain Your Content or to continue making it available after your account ends.

7. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. The Company is not liable for any loss or damage arising from your failure to protect your account information. Sharing your account credentials with any other person is strictly prohibited.

8. Privacy

Our Privacy Policy explains what information we collect when you use the Services, why we collect it, who processes it on our behalf, and what choices you have. It forms part of these Terms, and by using the Services you agree to it.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your license to use the Services ceases immediately, and you must discontinue all use. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA PRESENTED THROUGH THEM IS ACCURATE, CURRENT, OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBEX AERO TECHNOLOGIES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID, IF ANY, TO ACCESS THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, Your Content, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Oklahoma.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

15. General

Severability. If any provision of these Terms is held unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and the Company regarding the Services, and supersede any prior agreement or understanding on the subject.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
